Master Services Agreement & Statement of Work

1. Parties & Effective Date

This Agreement is between aiChemist.agency ("Provider") and LaMonte Wilcox / FLY (Fulfill Life Yourself) ("Client"). It takes effect on the date Client electronically accepts it (see §11).

2. Services

Provider supplies fractional AI architect / director services on a retainer basis. The specific scope is defined in the Statement of Work (§10).

3. Term & Termination

Month-to-month unless the SOW (§10) states a fixed term. Either party may terminate with 30 days' written notice. Fees for work performed through the termination date remain due.

4. Fees & Payment

Per the engagement tier selected at checkout, billed monthly via Stripe (card or ACH), net 7:

5. Intellectual Property

Provider retains all pre-existing tools, frameworks, and base-layer technology. FLY-specific deliverables produced under this Agreement are licensed/assigned to Client per the SOW (§10), subject to the Special Terms (§9).

6. Confidentiality

Mutual. Each party protects the other's non-public information and uses it solely to perform this Agreement.

7. Warranties & Disclaimers

Provider performs services in a professional manner. Except as expressly stated, services are provided "as is" without further warranty.

8. Limitation of Liability

Each party's aggregate liability is capped at the fees paid in the trailing three (3) months. Neither party is liable for indirect or consequential damages.

9. Special Terms & Considerations

The following terms apply specifically to this engagement and supersede the corresponding standardized clauses above where they conflict:

  1. Evolves an existing system. This engagement restores and enhances Client's existing live system rather than delivering a greenfield rebuild. Provider retains pre-existing and base-layer tooling; FLY-specific deliverables produced under this Agreement are licensed/assigned to Client per the SOW (§10).   2. Sensitive-data handling. The clarity session may store personal, sensitive reflections; data-retention and access posture will be defined and Client-approved before any persistence. (source: Priority Spec CP4 + Appendix, privacy posture)
  3. Client-provided inputs. Client nominates a small set of client stories (approx. 3–5) to seed the case-study capability; the capture mechanism is Provider-built. (source: Priority Spec CI4)
  4. Dependency-gated secondary deliverable. Marketing-funnel orchestration (GoHighLevel + Meta Ads) is a secondary deliverable, gated on the marketing lead's existing stack and readiness. (source: Priority Spec §Secondary / CI2)

10. Statement of Work (SOW §A)

Phased delivery of the FLY on-site experience (restore + enhance):

  1. Weeks 1–5 — Restore + enhance + first tests. Evolve the live clarity engine; stand up voice, accounts, session memory; build the program/dashboard surface; Client team testing by week 3.
  2. Day 45 — MVP testable. Working end-to-end on-site experience (entry point → clarity session → program).
  3. Day 60 — First clients live. First real clients onboarded; case-study capture loop running on their outcomes.
  4. Months 3–6 — Iterate to maximum product. Compound the case-study engine; optional secondary funnel orchestration (per §9 item 4).

Acceptance is by Client confirmation at each milestone. As the work proves out, further phases — such as an expanded coaching agent and facilitator tooling — are scoped under a separate SOW, so the engagement can continue building on the value delivered here.

11. Acceptance

Checking the Terms-of-Service box at checkout constitutes Client's electronic acceptance of this Agreement (FLY-2026-001) and the tier selected therein. Return to the proposal & checkout →
